Terms of Use for the Zeler AI Amazon Integration

These Terms of Use for the Amazon Integration govern the use of the integration between Zeler AI and Amazon, including access, querying, synchronization, processing, analysis, visualization, and use of data authorized through the Amazon Selling Partner API, also known as Amazon SP-API.

By connecting an Amazon account to Zeler AI, you accept these Terms, as well as the Comprehensive Privacy Notice, the Data Use Policy, the General Terms of Service of Zeler AI, and any additional applicable policy.

Zeler AI operates its services in accordance with applicable Amazon SP-API policies, including the Amazon Acceptable Use Policy, the Amazon Data Protection Policy, and agreements applicable to developers or solution providers that use the Amazon Selling Partner API.

Zeler AI is not Amazon, does not belong to Amazon, and is not controlled, sponsored, certified, affiliated, or endorsed by Amazon, unless expressly stated otherwise in writing.

Amazon, Amazon Seller Central, Amazon Selling Partner API, Amazon SP-API, their brands, logos, services, documentation, APIs, policies, and platforms belong to their respective owners.

1. Definitions

For purposes of these Terms:

Zeler AI means Zeler AI, with address in Monterrey, Nuevo León, Mexico, responsible for operating the platform, products, services, applications, integrations, websites, and related tools.

ZelerData means the Zeler AI product aimed at connecting, synchronizing, querying, analyzing, and presenting ecommerce operational data, including information from marketplaces and connected tools.

Amazon means Amazon, Amazon Seller Central, Amazon Marketplace, Amazon Selling Partner API, Amazon SP-API, its related entities, systems, services, tools, APIs, documentation, policies, and platforms.

Amazon SP-API means Amazon Selling Partner API, the set of APIs, permissions, roles, data, documentation, tools, and mechanisms authorized by Amazon for developers and solution providers to access data of authorized sellers or vendors.

Amazon Integration means the authorized connection between an Amazon account and Zeler AI, through the available technical mechanisms, including authorization flows, tokens, roles, permissions, scopes, APIs, synchronizations, and queries.

User means the individual who uses Zeler AI, creates an account, connects an integration, authorizes permissions, or accesses the services.

Customer means the person, company, agency, consultant, seller, organization, or entity that contracts, tests, or uses Zeler AI.

Selling Partner means the seller, vendor, or authorized Amazon account whose data is connected or processed through the Amazon Integration.

Amazon Data means information obtained, synchronized, queried, or processed from Amazon SP-API through user authorization, including account data, products, inventory, listings, prices, sales, orders, reports, metrics, performance, finances, logistics, identifiers, logs, and any information available according to granted permissions, approved roles, and applicable policies.

PII means personally identifiable information, including data that may directly or indirectly identify a person, buyer, recipient, or third party, according to Amazon policies and applicable law.

Tokens means technical credentials, access tokens, refresh tokens, scopes, permissions, roles, identifiers, or any authorization mechanism necessary to operate the integration.

2. Scope of the integration

The Amazon Integration allows Zeler AI, according to the plan, permissions, approved roles, available features, and user configuration, to:

1. Connect an Amazon account authorized by the user.

2. Query data available through Amazon SP-API.

3. Synchronize operational information from the connected account.

4. Process reports, metrics, listings, inventory, sales, orders, prices, finances, logistics, and other authorized information.

5. Display data in app.zeler.ai, Google Sheets, templates, formulas, reports, metrics, or operational views.

6. Generate analyses related to sales, inventory, listings, margin, costs, prices, products, SKU, ASIN, orders, commissions, shipments, and other operational indicators.

7. Detect authorization, permission, role, synchronization, limit, availability, or configuration errors.

8. Facilitate technical support, diagnostics, and onboarding related to the integration.

In its initial version, Zeler AI operates the Amazon Integration mainly as a data query, synchronization, analysis, and visualization tool. Zeler AI does not execute automatic changes in Amazon, including changes to price, inventory, listings, fulfillment, messages, campaigns, refunds, orders, or any operational action, unless there is a specific feature, express authorization from the customer, and additional applicable terms.

3. Acceptance of these Terms

By connecting an Amazon account, using the integration, starting a trial, requesting onboarding, generating reports, or querying Amazon data through Zeler AI, you declare that you have read, understood, and accepted these Terms.

If you do not accept these Terms, you must not connect Amazon accounts or use the integration.

Use of the Amazon Integration is also subject to the terms, conditions, policies, documentation, limits, roles, permissions, agreements, and rules that Amazon establishes for sellers, vendors, developers, solution providers, applications, APIs, and related services.

4. Relationship with Amazon

Zeler AI is an independent technology provider.

Zeler AI does not control Amazon, Amazon Seller Central, Amazon SP-API, its policies, accounts, data, permissions, roles, limits, availability, business rules, sanctions, blocks, reviews, reports, payments, logistics, listings, buyers, claims, or internal decisions of Amazon.

Amazon may modify, restrict, suspend, limit, or remove APIs, permissions, roles, endpoints, documentation, policies, rules, authorization flows, data, accounts, or services at any time.

Such changes may partially or totally affect the Amazon Integration.

Zeler AI will not be responsible for failures, interruptions, changes, suspensions, blocks, loss of access, errors, unavailability, restrictions, sanctions, modifications, or decisions attributable to Amazon or third parties.

5. Compliance with Amazon policies

The user and customer undertake to comply at all times with the applicable terms, conditions, policies, rules, documentation, and agreements of Amazon, including the Amazon Acceptable Use Policy, the Amazon Data Protection Policy, the Amazon Services API Developer Agreement, the Solution Provider Agreement, and any policy applicable to Amazon SP-API.

The user must not use Zeler AI to carry out activities that violate Amazon policies, including, without limitation:

1. Accessing Amazon data without sufficient authorization.

2. Connecting third-party accounts without sufficient permission.

3. Using Amazon data for purposes other than those authorized by Amazon, the customer, and these Terms.

4. Evading Amazon technical limits, roles, restrictions, reviews, permissions, security controls, or protection mechanisms.

5. Performing scraping, unauthorized extraction, unauthorized mass collection, or access outside Amazon SP-API.

6. Sharing, selling, transferring, publishing, or using Amazon data in an unauthorized manner.

7. Using buyer, seller, vendor, or third-party data for non-permitted purposes.

8. Facilitating fraud, abuse, spam, phishing, manipulation, unfair competition, contractual violation, or illegal activities.

9. Interfering with Amazon, Zeler AI, APIs, infrastructure, availability, or third-party security.

10. Using the integration to infringe intellectual property, privacy, confidentiality, security, consumer protection, competition, or applicable regulatory rights.

Zeler AI may suspend, limit, or terminate access to the Amazon Integration if it detects misuse, legal risk, security risk, breach of these Terms, breach of Amazon policies, request from Amazon, request from a competent authority, or potential impact on Zeler AI, Amazon, customers, buyers, or third parties.

6. Authorization of the Amazon account

To connect an Amazon account to Zeler AI, the user must complete the corresponding authorization flow and grant the permissions or roles necessary to operate the integration.

The user declares and warrants that:

1. They are the owner of the connected Amazon account, or

2. They have sufficient authorization from the owner of the Amazon account, or

3. They act as representative, administrator, agency, consultant, collaborator, or authorized user with sufficient authority to connect that account.

When an agency, consultant, or third party connects an Amazon account of an end customer, they will be responsible for having express and sufficient authorization from the owner of that account.

Zeler AI will not be responsible for connections made without sufficient authorization by the user, customer, agency, consultant, or third party that configures the integration.

7. Roles, permissions, and minimum necessary access

Zeler AI will request only the roles, permissions, and access necessary to operate the available features of the Amazon Integration.

The availability of data and features will depend on the roles approved by Amazon, the permissions granted by the user, the type of account, the marketplace, applicable policies, and the technical scope of Zeler AI.

Some Amazon SP-API roles may allow access to sensitive or restricted data. Zeler AI may limit, reject, or condition features that require restricted data, PII, or additional security controls until it has the necessary permissions, approvals, and measures.

The user accepts that certain features may not be available if Amazon does not approve specific roles, if the user does not grant sufficient permissions, or if Zeler AI decides not to request access that is not strictly necessary.

8. We do not request Amazon passwords

Zeler AI does not request, does not need, and must not receive passwords for Amazon, Seller Central, Vendor Central, buyer accounts, seller accounts, authentication codes, private keys, two-factor authentication factors, or personal login credentials.

The connection must be performed through the authorization flows permitted by Amazon.

The user must not share with Zeler AI passwords, security codes, private keys, two-factor authentication factors, personal access, or equivalent information.

If a user shares passwords or credentials outside the authorized flow, they do so at their own risk and contrary to Zeler AI security recommendations.

9. Tokens and technical credentials

When the user authorizes the Amazon Integration, Zeler AI may receive, store, and process tokens, refresh tokens, roles, scopes, identifiers, permissions, authorization data, and metadata necessary to keep the integration active.

Zeler AI uses these elements to:

1. Authenticate the authorized integration.

2. Query permitted APIs.

3. Execute synchronizations.

4. Renew access when technically necessary.

5. Maintain service continuity.

6. Diagnose authorization errors.

7. Revoke, disconnect, or invalidate access when applicable.

8. Protect platform security.

Zeler AI implements reasonable security measures to protect tokens and technical credentials, including access controls, secure storage, encryption or equivalent mechanisms, and separation between secrets and operational metadata when applicable.

10. Data the integration may process

Depending on granted permissions, approved roles, available features, contracted plan, and data accessible through Amazon SP-API, Zeler AI may process information related to:

1. Account, seller, marketplace, or store identifiers.

2. Product information, SKU, ASIN, titles, attributes, categories, listings, and listing status.

3. Sales, orders, units sold, amounts, dates, statuses, and commercial metrics.

4. Inventory, availability, fulfillment, FBA, AFN, coverage, movements, and operational-risk signals.

5. Prices, costs uploaded by the user, commissions, charges, fees, financial reports, and data necessary for margin analysis.

6. Logistics information, shipping methods, fulfillment statuses, operational performance, and data related to operations.

7. Historical reports available according to Amazon limits, permissions, roles, and APIs.

8. Account, performance, operational health, listings, sales, inventory, and finance metrics when authorized.

9. Synchronization logs, errors, limits, API responses, processing times, and update status.

10. Data necessary for reports, templates, formulas, indicators, audits, and operational analyses.

11. Other data authorized by the user and necessary to provide the service.

Zeler AI does not guarantee that all of the above data will be available for all accounts, countries, users, plans, roles, or times. Availability depends on Amazon, the permissions granted, the user's configuration, and the technical scope of Zeler AI.

11. Personal data, PII, and restricted data

Zeler AI does not seek to process buyers' personal data as a main purpose.

However, some Amazon APIs, reports, orders, or roles may include PII or restricted data, including information related to buyers, recipients, addresses, tax information, shipping data, or other third parties.

When such data is received through an authorized integration, Zeler AI will process it only to the extent necessary to provide the service, maintain technical operation, comply with applicable obligations, handle support, or execute customer instructions.

Zeler AI will seek to apply minimization, security, restricted-access, limited-retention, encryption, and deletion criteria according to applicable Amazon policies.

When the information is PII subject to Amazon retention limits, Zeler AI will apply limited retention and seek to delete it within the applicable periods, including the period of 30 days after order delivery when applicable.

The customer is responsible for complying with its own legal, contractual, and privacy obligations toward buyers, sellers, end customers, vendors, collaborators, or third parties whose data is processed through the integration.

12. Permitted use

The user may use the Amazon Integration only for legitimate purposes related to the operation, analysis, control, management, and improvement of their ecommerce activity or that of their authorized customers.

Permitted use includes:

1. Querying authorized operational data.

2. Generating live reports.

3. Analyzing sales, listings, inventory, margin, products, SKU, ASIN, prices, commissions, fulfillment, and metrics.

4. Reducing manual reports and repeated downloads.

5. Standardizing internal reports or reports for authorized customers.

6. Detecting operational problems.

7. Prioritizing commercial or operational actions.

8. Following up on authorized Amazon accounts.

9. Using data in app.zeler.ai, Google Sheets, or compatible tools within the scope of the service.

10. Receiving technical support related to the integration.

13. Prohibited use

The user may not use the Amazon Integration to:

1. Access accounts without authorization.

2. Connect third-party accounts without sufficient permission.

3. Extract unauthorized data.

4. Scrape, crawl, harvest, or perform automated collection outside mechanisms permitted by Amazon.

5. Resell, sublicense, publish, distribute, or share Amazon data in an unauthorized manner.

6. Create databases of buyers, sellers, competitors, or third parties for non-permitted purposes.

7. Use Amazon data for spam, phishing, fraud, harassment, discrimination, unauthorized advertising, or illegal activities.

8. Circumvent technical limits, rate limits, permissions, roles, blocks, reviews, validations, or security controls.

9. Interfere with Amazon, Zeler AI, APIs, infrastructure, availability, or third-party security.

10. Use bots, automations, or unauthorized mechanisms to manipulate listings, prices, inventory, sales, messages, claims, reviews, rankings, feedback, or metrics.

11. Use the integration to infringe intellectual property, privacy, confidentiality, competition, consumer protection, or applicable regulatory rights.

12. Share credentials, tokens, or access with unauthorized third parties.

13. Attempt to discover, copy, modify, decompile, attack, or compromise the infrastructure of Zeler AI or Amazon.

14. Use production data of end customers without authorization from those customers.

15. Use data obtained from Amazon for advertising, remarketing, external profiling, sale of data, or construction of unauthorized databases.

16. Use buyer information to contact buyers outside the mechanisms permitted by Amazon.

17. Carry out any activity contrary to these Terms, the Data Use Policy, the Privacy Notice, the General Terms of Zeler AI, or Amazon policies.

14. Query features and absence of automatic actions

Unless expressly stated otherwise in a future feature, the Zeler AI Amazon Integration operates as a query, synchronization, analysis, and visualization tool.

Zeler AI will not automatically modify listings, prices, inventory, fulfillment, campaigns, messages, orders, refunds, feedback, reviews, rankings, discounts, or other Amazon elements without a specific feature, express authorization from the customer, and acceptance of applicable terms.

If in the future Zeler AI enables features that execute actions on Amazon, such features may require additional permissions, confirmations, security controls, logs, limits, and acceptance of specific terms.

15. Accuracy, availability, and updating of data

Zeler AI obtains, processes, or displays data from Amazon, Amazon SP-API, permissions, roles, user configurations, spreadsheets, and related systems.

The accuracy, availability, integrity, update frequency, or completeness of data may depend on:

1. Amazon SP-API availability.

2. Permissions granted by the user.

3. Roles approved by Amazon.

4. API limits.

5. Changes to endpoints, structures, policies, or rules.

6. Status of the Amazon account.

7. Amazon restrictions, reviews, blocks, validations, or requirements.

8. Synchronization errors.

9. Incorrect configurations.

10. Internet, infrastructure, cloud, processing, or third-party failures.

11. Incomplete, incorrect, or delayed data in the original source.

Zeler AI works to improve service reliability, but it does not guarantee that data will always be complete, updated, available, accurate, or error-free.

The customer must validate information before making critical commercial, financial, tax, logistical, operational, or legal decisions.

16. Historical backfill and synchronization

Zeler AI may perform historical loads or backfill of information available from Amazon, subject to permissions, roles, limits, available data, contracted plan, account size, operational volume, API stability, and technical capacity.

Backfill may take time depending on data volume, number of listings, orders, SKU, ASIN, allowed calls, technical limits, Amazon restrictions, and infrastructure conditions.

Zeler AI may show statuses such as pending, in process, partial, completed, or error.

Zeler AI does not guarantee that all historical data will be available or that Amazon will allow unlimited or complete information recovery.

17. Google Sheets and derived reports

The Amazon Integration may be used together with Google Sheets, templates, formulas, and live reports.

The user is responsible for administering access to their spreadsheets, editing permissions, shared users, copies, exports, downloads, and subsequent use of data outside Zeler AI.

Zeler AI will not be responsible for disclosure, editing, deletion, copying, download, publication, or misuse of data once the user exports, shares, or uses it outside the services controlled by Zeler AI.

18. Plans, limits, and fair use

Use of the Amazon Integration may be subject to plans, limits, update frequency, order volume, technical consumption, number of queries, fair-use rules, overages, and applicable commercial conditions.

Zeler AI may apply limits to protect stability, security, costs, availability, and the experience of other users.

Zeler AI may limit, pause, degrade, suspend, or adjust synchronizations, formulas, queries, reports, or features when it detects:

1. Excessive consumption.

2. Abusive use.

3. Security risk.

4. Repeated failures due to incorrect configuration.

5. Breach of terms.

6. Non-payment.

7. Attempt to evade limits.

8. Use that affects Zeler AI, Amazon, or other users.

9. Request from an authority or competent third party.

10. Breach of Amazon policies.

When a plan includes limits by orders, frequency, or consumption, Zeler AI may apply overage charges according to the current commercial terms.

19. Free trials and test accounts

Zeler AI may offer free trials or pilots of the Amazon Integration.

During a trial, the user must comply with these Terms, the Data Use Policy, the Privacy Notice, and other applicable conditions.

If the user does not wish to connect a real account, Zeler AI may offer demonstrations with sample data or test accounts, when available. Such demonstrations do not replace validation with real data or guarantee equivalent results in a production account.

20. Disconnection and access revocation

The user may request disconnection of an Amazon account from the features available in Zeler AI or by writing to privacidad@zeler.ai.

The user may also revoke access from the tools, settings, or mechanisms made available by Amazon.

Upon disconnecting an account:

1. Zeler AI will stop performing new synchronizations for that account, except for residual technical processes necessary to complete disconnection.

2. Some historical data or records may be kept temporarily according to the Privacy Notice, Data Use Policy, legal, tax, contractual, security, or support obligations.

3. Zeler AI may delete, block, or anonymize operational data according to its retention policies.

4. Some formulas, reports, templates, or results may stop working or become outdated.

The customer may request early deletion of data by writing to privacidad@zeler.ai.

21. Data retention and deletion

Zeler AI will keep data associated with the Amazon Integration for the time necessary to provide the service, maintain synchronizations, administer the account, handle support, comply with legal, tax, accounting, contractual, or security obligations, or resolve disputes.

Zeler AI will apply limited retention to personal data, PII, and restricted data according to applicable Amazon policies.

When data corresponds to PII associated with orders, Zeler AI will seek to delete it within 30 days after order delivery, unless an applicable legal or contractual exception exists.

Non-PII data obtained through Amazon SP-API may be kept only for the time necessary to provide the service, respecting the applicable limits established by Amazon.

When the customer cancels their account, disconnects the integration, or requests deletion of data, Zeler AI may delete, block, or anonymize the associated operational data within a reasonable period, unless there is a legal, tax, contractual, technical, security, or dispute-resolution obligation that requires keeping it for longer.

22. Security

Zeler AI implements reasonable administrative, technical, and physical measures to protect data, tokens, technical credentials, logs, and operational information related to the Amazon Integration.

These measures may include:

1. Access control by user, organization, and role.

2. Secure storage of tokens and secrets.

3. Encryption or equivalent mechanisms.

4. Cloud infrastructure with security controls.

5. Logs and activity monitoring.

6. Separation between secrets and operational data when applicable.

7. Restriction of internal access based on need.

8. Diagnostic, support, and incident-response procedures.

9. Review of errors, suspicious activity, and unusual use.

10. Continuity, backup, and recovery measures when applicable.

11. Multi-factor authentication for internal access when applicable.

12. Periodic access review.

13. Vulnerability management according to the criticality of the risk.

No system is completely immune to risks. The user must also protect their access, administer permissions, limit authorized users, revoke unnecessary integrations, and avoid sharing sensitive data through insecure channels.

23. Security incidents

If Zeler AI detects a security incident that may affect Amazon data, PII, technical credentials, or information protected by Amazon policies, Zeler AI will take reasonable measures to investigate, contain, mitigate, and remedy the incident.

When applicable under Amazon policies, Zeler AI will notify Amazon within the required periods, including the 24-hour period for security incidents when applicable.

Zeler AI may also notify the affected customer or user when necessary or convenient under applicable law, Amazon policies, or the nature of the incident.

24. Support

Zeler AI may offer support related to the Amazon Integration through email, WhatsApp, internal channels, documentation, videos, guides, or available mechanisms.

Unless specifically agreed in writing, support is provided on a best-efforts basis and during business hours.

Zeler AI does not guarantee specific response times, resolution of all errors, continuous availability of Amazon, correction of external failures, or support for problems caused by configurations, permissions, roles, restrictions, or changes outside Zeler AI.

25. Suspension or termination of the integration

Zeler AI may suspend, limit, or terminate access to the Amazon Integration, with or without prior notice, when any of the following occur:

1. Breach of these Terms.

2. Breach of the General Terms of Zeler AI.

3. Breach of the Privacy Notice or Data Use Policy.

4. Breach of Amazon policies, rules, agreements, or terms.

5. Connection of accounts without sufficient authorization.

6. Security risk, fraud, abuse, or misuse.

7. Non-payment.

8. Excessive use or evasion of limits.

9. Request from Amazon, an authority, or a third party with sufficient authority.

10. Impact on the stability, security, or availability of Zeler AI.

11. Use that may cause damage, liability, sanction, block, or reputational risk for Zeler AI.

12. End of availability of APIs, permissions, roles, or technical conditions necessary to operate the integration.

Suspension or termination may affect reports, synchronizations, templates, formulas, historical data, analyses, and associated results.

26. Intellectual property

Zeler AI retains all rights over its software, code, design, interfaces, templates, formulas, reports, documentation, models, rules, algorithms, brands, names, logos, processes, know-how, and own materials.

The customer retains the rights that correspond to them over their data, commercial information, costs, configurations, own reports, and data of their operation.

Amazon retains the rights that correspond to it over its brands, APIs, documentation, platform, services, data, names, logos, and other protected assets.

Use of the Amazon Integration does not grant the user rights over the intellectual property of Zeler AI, Amazon, or third parties.

27. Confidentiality

The user must keep confidential any non-public information related to Zeler AI, including access, private documentation, credentials, configurations, technical information, personalized prices, processes, betas, tests, errors, roadmap, internal materials, or any information identified as confidential.

Zeler AI will process customer information according to the Privacy Notice, Data Use Policy, these Terms, and applicable Amazon policies.

28. Customer responsibility

The customer is responsible for:

1. Having sufficient authorization to connect Amazon accounts.

2. Administering users, access, and permissions.

3. Verifying the legality of using connected data.

4. Complying with Amazon terms, policies, and agreements.

5. Validating data before making decisions.

6. Reviewing permissions granted to Zeler AI.

7. Revoking integrations that should no longer operate.

8. Protecting credentials and access.

9. Informing end customers or third parties when necessary.

10. Not uploading or sharing unnecessary, sensitive, or unauthorized data.

11. Complying with tax, commercial, privacy, consumer, marketplace, and any regulatory obligations applicable to its operation.

12. Answering for the use that its users, collaborators, agencies, consultants, or representatives make of the integration.

13. Complying with the rules applicable to use of data of buyers, sellers, vendors, orders, reports, and any information obtained through Amazon SP-API.

29. Limitation of liability

To the maximum extent permitted by applicable law, Zeler AI will not be responsible for:

1. Changes, failures, restrictions, or unavailability of Amazon.

2. Errors, delays, or incomplete data from Amazon.

3. Commercial, financial, tax, logistical, or operational decisions made by the customer based on data, reports, alerts, or analyses.

4. Loss of sales, profit, ranking, reputation, positioning, opportunities, data, revenue, or expected benefits.

5. Blocks, sanctions, suspensions, restrictions, or actions taken by Amazon regarding the customer's account.

6. Unauthorized use of connected accounts by the customer or third parties.

7. Incorrect configurations, insufficient permissions, roles not approved, or lack of user authorization.

8. Errors in spreadsheets, formulas edited by the user, copies, exports, or data manipulated outside Zeler AI.

9. Internet, cloud, provider, API, external-system, or third-party infrastructure failures.

10. Unauthorized access resulting from user negligence, shared passwords, mismanaged permissions, or compromised devices.

11. Breaches by the customer toward Amazon, buyers, sellers, end customers, authorities, or third parties.

Zeler AI provides operational-support tools. The customer retains final responsibility for its operation, decisions, accounts, data, compliance, and commercial actions.

In no event will the total liability of Zeler AI arising from the Amazon Integration exceed the amount actually paid by the customer to Zeler AI during the last twelve months for the services related to that integration, unless applicable law provides otherwise.

30. Indemnity

The customer agrees to defend, indemnify, and hold Zeler AI harmless from claims, damages, losses, liabilities, sanctions, costs, expenses, fees, or proceedings arising from:

1. Misuse of the Amazon Integration.

2. Connection of accounts without sufficient authorization.

3. Breach of these Terms.

4. Breach of Amazon policies, agreements, or terms.

5. Violation of third-party rights.

6. Improper processing of data of buyers, end customers, sellers, vendors, or third parties.

7. Instructions given to Zeler AI by the customer.

8. Use of data outside Zeler AI.

9. Illegal, fraudulent, abusive, or unauthorized activities.

10. Legal, tax, commercial, contractual, or regulatory breach by the customer.

31. Changes to the integration

Zeler AI may modify, update, limit, suspend, replace, or discontinue all or part of the Amazon Integration for technical, commercial, legal, regulatory, security, availability, compliance reasons, changes by Amazon, API changes, role changes, permission changes, or product evolution.

When reasonable, Zeler AI will seek to notify relevant changes by email, notice on the platform, or publication on its legal sites.

Continued use of the integration after a change will imply acceptance of the updated conditions.

32. Changes to these Terms

Zeler AI may modify these Terms to reflect legal, technical, commercial, operational, security, product, Amazon policy, or related-service changes.

When changes are relevant, Zeler AI may notify them by email, platform notice, website publication, or any other reasonable means.

33. Relationship with other legal documents

These Terms form part of the legal framework of Zeler AI and must be read together with:

1. Comprehensive Privacy Notice of Zeler AI.

2. Data Use Policy of Zeler AI.

3. General Terms of Service of Zeler AI.

4. Fair Use Policy, if available.

5. Specific terms of other products or integrations.

6. Applicable terms, conditions, policies, documentation, and agreements of Amazon.

In case of conflict between these Terms and the General Terms of Zeler AI, these Terms will prevail only with respect to the specific use of the Amazon Integration.

In case of conflict between these Terms and the mandatory Amazon policies applicable to use of Amazon SP-API, the user must comply with Amazon policies and Zeler AI may adjust, limit, or suspend the integration as necessary.

34. Applicable law and jurisdiction

These Terms will be governed and interpreted according to the applicable laws of Mexico, unless there is a mandatory legal provision or applicable agreement that establishes otherwise.

Any dispute related to these Terms, the Amazon Integration, or Zeler AI services will be submitted to the competent courts of Monterrey, Nuevo León, Mexico, unless applicable law provides otherwise.
