Comprehensive Privacy Notice of Zeler AI

Zeler AI, with address in Monterrey, Nuevo León, Mexico and privacy contact email privacidad@zeler.ai, is responsible for the use, processing, and protection of the personal data it collects from its users, customers, prospects, representatives, administrators, collaborators, and people who interact with its services.

This Comprehensive Privacy Notice is issued in compliance with the Federal Law on Protection of Personal Data Held by Private Parties and other applicable provisions in Mexico.

Zeler AI develops and operates technology solutions for ecommerce, including ZelerData and other present or future products of the ZelerAI ecosystem, aimed at connecting, synchronizing, querying, analyzing, and presenting operational information from sales channels, marketplaces, productivity tools, and related systems.

For purposes of this Notice, “Zeler AI”, “ZelerAI”, “we”, “our”, or “the platform” means the controller identified above and the products, services, applications, integrations, websites, forms, tools, add-ons, and support channels operated by it.

Personal data we may collect

Zeler AI may collect personal data directly from you, through our websites, forms, applications, registration processes, commercial communications, support channels, onboarding sessions, demos, authorized integrations, or third-party tools used to provide the service.

The personal data we may process includes:

a) Identification and contact data

Full name, email address, telephone number, company, role, country, city, trade name, username, internal account identifiers, and data necessary to identify you as a customer, prospect, authorized user, or representative of an organization.

b) Account and access data

Registration data, username, organization, role, permissions, access history, sign-up date, account status, connected integrations, activity within the platform, configuration preferences, session history, authentication records, and technical data associated with use of the service.

c) Tax, administrative, and billing data

Legal name, RFC, tax address, tax regime, CFDI use, payment method, billing data, receipts, administrative collection information, and data necessary to issue invoices, administer payments, manage plans, renewals, cancellations, refunds, or clarifications.

d) Support and communication data

Messages sent by email, forms, WhatsApp, chat, video calls, tickets, surveys, calls, support requests, comments, files voluntarily shared, incident history, technical evidence, and any information you decide to share to receive assistance, diagnostics, onboarding, or support.

e) Technical and usage data

IP address, device identifiers, browser, operating system, access dates and times, pages visited, actions performed within the platform, usage events, errors, logs, performance metrics, synchronization status, feature usage, consumption associated with the contracted plan, and data necessary for security, diagnostics, abuse prevention, and service improvement.

f) Data associated with authorized integrations

When you authorize the connection of an integration, Zeler AI may process account identifiers, seller ID, marketplace ID, store, organization, technical tokens, permissions granted, connection status, synchronization logs, errors, update dates, and other data necessary to operate the authorized integration.

Depending on the integration, Zeler AI may process operational information related to sales, orders, listings, products, SKU, prices, stock, commissions, shipments, costs uploaded by the user, commercial metrics, reports, templates, formulas, configurations, and other data necessary to provide the contracted services.

g) Third-party data contained in connected accounts

In certain cases, data from marketplaces or connected systems may include information related to buyers, recipients, commercial contacts, authorized users, collaborators, or third parties linked to ecommerce operations.

Zeler AI does not request or seek to process buyers' personal data as a main purpose. When such data is received through an authorized integration, it will be processed only to the extent necessary to provide the service, maintain technical operation, comply with applicable obligations, or handle customer requests, seeking to apply minimization, security, and limited-retention criteria.

Sensitive personal data

Zeler AI does not intentionally request sensitive personal data.

We ask that you do not upload, send, or share sensitive data through the platform, spreadsheets, support tickets, forms, integrations, or communication channels, unless strictly necessary and with an appropriate legal basis.

For purposes of this Notice, sensitive personal data means data that may reveal aspects such as racial or ethnic origin, health status, genetic information, religious, philosophical, or moral beliefs, union membership, political opinions, sexual preference, or other data that may affect the most intimate sphere of the data subject.

If you upload or share sensitive data without Zeler AI having requested it, we may delete it, block it, anonymize it, or ask you to remove it, as applicable.

Primary purposes of processing

Zeler AI will process your personal data for the following purposes necessary for the legal, commercial, technical, and operational relationship with you:

1. Create, administer, and maintain user accounts, organizations, and profiles within the platform.

2. Identify you as a user, customer, prospect, representative, administrator, authorized collaborator, or contact related to an organization.

3. Provide, operate, maintain, and improve Zeler AI products and services, including ZelerData and future tools of the ZelerAI ecosystem.

4. Enable the connection, authorization, synchronization, querying, analysis, and visualization of data from marketplaces, sales channels, Google Sheets, productivity tools, and other systems connected by the user.

5. Generate reports, templates, metrics, operational views, formulas, analyses, alerts, indicators, and results associated with sales, listings, stock, margin, prices, costs, orders, shipments, or other authorized operational data.

6. Administer onboarding processes, initial configuration, technical support, diagnostics, error resolution, incident follow-up, and request handling.

7. Manage plans, free trials, subscriptions, usage limits, update frequency, overages, renewals, cancellations, and plan changes.

8. Process payments, issue invoices, CFDI, receipts, administrative notes, clarifications, refunds, and comply with tax, accounting, and administrative obligations.

9. Verify permissions, roles, authorizations, ownership, or representation necessary to connect accounts, integrations, or third-party data.

10. Protect platform security, prevent unauthorized access, abuse, fraud, misuse, attacks, critical errors, excessive consumption, or violations of our terms.

11. Monitor availability, performance, stability, errors, logs, synchronizations, integrations, service consumption, and quality of processed data.

12. Comply with legal, contractual, regulatory, tax, accounting obligations, or valid requirements from a competent authority.

13. Document communications, requests, consents, acceptance of terms, configuration changes, integration authorizations, and records necessary for service operation.

Secondary purposes

In addition, Zeler AI may process your personal data for purposes that are not essential for providing the service, but that allow us to maintain commercial communication, improve our offering, and develop the business:

1. Send communications about news, improvements, launches, updates, educational content, use cases, invitations to demos, webinars, guides, promotions, or commercial information related to Zeler AI.

2. Conduct surveys, interviews, market research, satisfaction analyses, product tests, validation of new features, or user experience studies.

3. Prepare internal market analyses, commercial segmentation, campaign measurement, channel performance, and communication effectiveness.

4. Contact you to offer new products, modules, integrations, services, or features related to Zeler AI.

5. Use aggregated or anonymized data to generate internal metrics, statistics, non-identifiable benchmarks, product analyses, or learning materials, provided they do not directly identify a person, customer, or specific account.

Opposition and refusal

You may object to the use of your personal data for secondary purposes by sending a request to privacidad@zeler.ai.

Refusing the use of your personal data for secondary purposes will not be a reason to deny you the contracted services.

Operational data from marketplaces, sales channels, and integrations

Zeler AI may process operational and commercial data from accounts, marketplaces, spreadsheets, systems, or integrations authorized by the user.

This data may include information about sales, orders, listings, products, SKU, prices, stock, commissions, shipments, costs, reports, metrics, configurations, formulas, templates, logs, errors, technical identifiers, and data necessary to provide the contracted services.

Zeler AI will process such data only to operate the service, generate reports, maintain synchronizations, provide support, improve product stability, prevent abuse, comply with legal obligations, and develop features related to the contracted services.

Zeler AI does not sell personal data or operational data of its customers. It also does not use one customer's data to directly benefit another customer, nor does it publish identifiable information about customers, sellers, accounts, buyers, or third parties without authorization.

When aggregated, statistical, or anonymized data is used, Zeler AI will seek to ensure that such data does not identify a specific person, customer, account, store, seller, or third party.

Use of Google Sheets, add-ons, and third-party tools

When you use Zeler AI features related to Google Sheets, add-ons, templates, formulas, reports, or integrations with Google services, Zeler AI may access, process, or display only the data necessary to execute the features authorized by you.

This may include spreadsheet identifiers, ranges, formulas, configurations, template data, query results, synchronization information, errors, and data necessary to display live reports or operational information in Google Sheets.

Zeler AI will seek to request only the permissions necessary to operate the available features and will not use data obtained through Google services for advertising purposes, data sale, or uses unrelated to providing the contracted service.

You may revoke permissions from your Google account, from the corresponding integration settings, or by requesting assistance from Zeler AI.

Transfers of personal data

Zeler AI does not sell your personal data.

Zeler AI may share personal data only when necessary to fulfill the purposes described in this Notice, provide the service, administer the commercial relationship, operate technological infrastructure, process payments, issue invoices, provide support, comply with legal obligations, or respond to requests from a competent authority.

We may share data with the following categories of third parties:

1. Providers of technological infrastructure, hosting, cloud, databases, storage, monitoring, security, technical analytics, and system operation.

2. Providers of authentication, messaging, email, support, CRM, customer service, ticket management, video calls, or communication.

3. Providers of payment processing, billing, accounting, tax administration, collection, CFDI, or financial management.

4. Legal, tax, accounting providers, auditors, professional advisers, or consultants who support compliance with Zeler AI obligations.

5. Marketplaces, platforms, integrations, APIs, or tools connected by instruction or authorization of the user, when necessary to operate the requested integration.

6. Competent authorities, when there is a legal obligation, valid requirement, or applicable administrative, judicial, or tax proceeding.

7. Affiliated companies, subsidiaries, successors, acquirers, or assignees in case of restructuring, merger, acquisition, asset sale, investment, financing, or corporate change, always under reasonable confidentiality and protection measures.

Consent for transfers

When a transfer requires your consent under applicable law, Zeler AI will request it in advance.

Processors

Zeler AI may hire providers that process personal data on behalf of Zeler AI and following its instructions, exclusively to provide services necessary for platform operation.

These providers may include cloud, storage, security, communication, support, billing, analytics, payment processing, automation, development, monitoring, administration, and other necessary services.

Zeler AI will seek to ensure that these providers adopt confidentiality, security, and limited-processing obligations according to the nature of the contracted service.

Data of end customers, buyers, or third parties

When a customer, agency, consultant, or authorized user connects marketplace accounts, spreadsheets, systems, or data belonging to third parties, they declare that they have the necessary authorizations, permissions, legal bases, and authority to share, connect, or allow the processing of such data through Zeler AI.

In these cases, the customer will be responsible for ensuring that they have sufficient authorization from the owner of the account, seller, end customer, buyer, collaborator, or corresponding third party.

Zeler AI will act according to the customer's instructions and within the scope of the contracted services, without assuming responsibility for connections made without sufficient authorization by the user, agency, consultant, or customer who configures them.

Conservation, retention, and deletion of data

Zeler AI will keep personal data for the time necessary to fulfill the purposes described in this Notice, provide the contracted services, maintain the commercial relationship, handle support, comply with legal, tax, accounting, or contractual obligations, or resolve disputes.

Account, billing, and administrative records may be kept for the periods required by applicable law.

Operational data from integrations will be kept while the account, integration, or service is active and necessary to provide the contracted service.

When the customer cancels their account, disconnects an integration, or requests deletion of data, Zeler AI may delete, block, or anonymize the associated operational data within a reasonable period, which in general terms may be up to 90 days, unless there is a legal, tax, contractual, technical, security, or dispute-resolution obligation that requires keeping it for longer.

The customer may request early deletion of data by writing to privacidad@zeler.ai. Zeler AI will evaluate the request and proceed in accordance with applicable law, the contracted terms, and current obligations.

Information security

Zeler AI implements reasonable administrative, technical, and physical measures to protect personal and operational data against damage, loss, alteration, destruction, unauthorized access, use, or processing.

These measures may include, as applicable:

1. Access control by users, roles, and organizations.

2. Authentication and authorization for use of the platform.

3. Secure management of tokens and technical credentials.

4. Use of cloud infrastructure with security controls.

5. Encryption or equivalent mechanisms to protect sensitive information of technical operation.

6. Logs, monitoring, observability, and records of relevant events.

7. Restriction of internal access based on operational need.

8. Support, diagnostics, and error or incident response procedures.

9. Backups, availability controls, and measures for operational continuity.

10. Progressive review of security practices as the product evolves.

Shared responsibility

Although Zeler AI applies reasonable security measures, no technological system is absolutely invulnerable. The user is also responsible for protecting their credentials, administering authorized users, configuring appropriate permissions, and avoiding sharing access with unauthorized persons.

ARCO rights and revocation of consent

You have the right to access, rectify, cancel, or oppose the processing of your personal data, as well as to revoke the consent you have granted for purposes that require it.

To exercise your ARCO rights or revoke your consent, you must send a request to:

Your request must include at least:

1. Full name of the data subject.

2. Email address or means for communicating the response.

3. Document or reasonable information that allows us to verify your identity or legal representation.

4. Clear description of the right you wish to exercise.

5. Personal data with respect to which you wish to exercise the corresponding right.

6. Any additional information that helps locate the data.

Representation and response

When the request is submitted by a legal representative, the corresponding representation must be proven.

Zeler AI will respond within the periods established by applicable law. If the information provided is insufficient, we may request additional data to verify your identity, locate the information, or properly process your request.

Means to limit the use or disclosure of your data

You may limit the use or disclosure of your personal data by sending a request to privacidad@zeler.ai.

You may also stop receiving commercial communications through the unsubscribe mechanisms included in emails we send or by requesting it directly at the privacy email address.

Limiting commercial communications will not affect the sending of messages necessary for providing the service, such as security notices, billing, legal changes, support, renewals, technical incidents, expirations, critical updates, or communications related to your account.

Cookies and similar technologies

Zeler AI may use cookies, pixels, local storage, identifiers, web analytics, and similar technologies on its websites, applications, or services.

These technologies may be used to:

1. Keep sessions active.

2. Remember preferences.

3. Improve the user experience.

4. Measure site or platform use.

5. Analyze performance.

6. Detect errors.

7. Prevent abuse or unauthorized access.

8. Evaluate the effectiveness of communications or campaigns.

Cookie control

You may configure your browser to block, delete, or limit cookies. However, some site or platform features may not operate correctly if certain necessary technologies are disabled.

Minors

Zeler AI services are aimed at businesses, professionals, agencies, consultants, sellers, ecommerce operators, and adult users.

Zeler AI is not directed to minors and does not seek to intentionally collect personal data from minors. If you believe we have processed personal data of a minor without the corresponding authorization, you may contact us at privacidad@zeler.ai to request the corresponding review and deletion.

Use of aggregated or anonymized data

Zeler AI may use aggregated, statistical, disassociated, or anonymized data for internal analyses, product improvement, feature development, research, metrics, benchmarks, documentation, trend reports, or commercial communication.

Such data must not allow the direct identification of specific persons, customers, accounts, sellers, buyers, or third parties.

When Zeler AI wishes to publish a success case, benchmark, testimonial, logo, commercial reference, or identifiable information of a customer, it will request prior authorization when applicable.

Changes to the Privacy Notice

Zeler AI may modify, update, or change this Privacy Notice to reflect legal, regulatory, technical, operational, commercial, product, or data-processing changes.

When changes are relevant, Zeler AI may notify them by email, in-platform notice, website publication, or any other reasonable means.

Continued use of the services after an update is published will imply awareness of the new version, without prejudice to the rights granted to the data subject by law.
